Confidentiality Agreement

Background

EzyAccounts and the potential Franchisee intend to engage in commercial negotiations regarding the potential grant of an EzyAccounts franchise. During negotiations, discussions or meetings between EzyAccounts and the Covenantors, Confidential Information by may be provided. EzyAccounts have agreed to allow the Franchisee and the Guarantors access to the Confidential Information on the terms of this Confidentiality Agreement.

Definitions

EzyAccounts means EzyAccounts Pty Ltd, its representatives, officers and related bodies corporate.

Confidential Information means all material, information and documentation provided by EzyAccounts to the Covenantors in any medium, which suggests that it should be treated as confidential, but does not include information that is in the public domain.

Covenantors means the potential Franchisee and the Guarantors.

Permitted Purpose means the purpose of providing the Franchisee with sufficient information to understand the EzyAccounts franchise system and enter into a commercial arrangement with EzyAccounts.

Terms

The Covenantors acknowledge and agree:

to treat as confidential the Confidential Information;
to use the Confidential Information only for the Permitted Purpose;
not to disclose to any person any Confidential Information except to the extent reasonably necessary to give effect to the Permitted Purpose or unless required by law;
to not copy, reproduce or record any Confidential Information, without the consent of EzyAccounts;
to destroy, delete or deliver the Confidential Information held in any medium at the request of EzyAccounts, at the Covenantors’ expense;
that in the event of uncertainty, the Covenantors will treat information as Confidential Information;
to ensure that any Confidential Information is protected from loss, unauthorised access, use, disclosure or other misuse;
to indemnify EzyAccounts against all claims, losses, costs, liabilities and expenses resulting from the Covenantors’ breach of this confidentiality agreement;
that if any provision of this agreement is held to be unlawful or invalid for any reason, that provision will be severed so that the rest of the agreement is enforceable;
that this agreement will continue to apply during the agreed term and after the Convenantors’ dealing with EzyAccounts; and
that this agreement is governed by the laws of the state of Queensland.
